The Department of General Services, Office of Legal Services (OLS), has developed a set of model contract terms with the Lawrence Livermore National Laboratory, Lawrence Berkeley National Laboratory, and the Sandia National Laboratories. These model contract terms are intended to facilitate contracting between State agencies and these National Laboratories by serving as a starting point for contracting discussions.

Please be advised that:

  • The model terms are not required to be used by departments when contracting with the labs but may be used as a contracting starting point.
  • Departments should consult with their legal counsel to determine if the model terms are appropriate for the type of contracting they are conducting. Some Exhibits or their provisions may not be appropriate in all cases or may need to be modified to suit the needs of a particular contract. 
  • The model terms were developed to meet the needs of most State contracts, but they may not adequately address laws or issues unique to each department. Because each contracting situation is factually unique, the use of the model terms does not guarantee approval by OLS.  Questions about a particular contract within OLS’s review and approval authority should be directed to the assigned OLS attorney.
