The Department of General Services (DGS) has reached agreement on a set of model contract terms with the Lawrence Livermore National Laboratory, Lawrence Berkeley National Laboratory, and the Sandia National Laboratories. These model contract terms have been approved by the national laboratories and by the DGS Office of Legal Services. They are intended to facilitate contracting between State agencies and these National Laboratories.
Please be advised that:
- The model terms are not required to be used by your department when contracting with the labs; however you should use them as a starting point because they have been pre-approved by the National Laboratories and by OLS and will help simplify the process.
- The model terms contain information that must be completed by your department when using them to prepare a contract. These sections contain instructions in brackets indicating what information is needed. Please be sure to read through the Exhibits carefully to ensure that all required information is provided. The documents are available in a format that can be downloaded and edited.
- Departments should consult with your legal counsel to determine if the model terms are appropriate for the type of contracting you are doing. Some of the Exhibits or provisions in the Exhibits may not be appropriate in all cases or may need to be modified to suit the needs of your particular contract. The model terms were developed to meet the needs of most State contracts, but they may not adequately address laws or issues unique to your department.
If you have questions about a particular contract, please contact your assigned OLS attorney. If you have general questions about these model contract terms, if you have any issues related to using these model terms when contracting with the National Laboratories, or if your department is aware of a need to develop model terms for use with NASA research and development centers and NASA field centers, please contact Michelle Livsey, Senior Staff Counsel, at (916) 376-5109. (For more information, please refer to The Federal Laboratory Contracting Act located in Public Contract Code section 12500 et seq.)
